1. Agreement to Terms
By accessing or using the CePAT e-Invoice platform ("Service") operated by D Gift Sdn Bhd ("Company", "we", "us"), you ("Customer", "you") agree to be bound by these Terms & Conditions. If you do not agree, do not use the Service.
2. Service Description
CePAT is a cloud-based e-Invoice management platform that allows users to create, manage, and submit electronic invoices to LHDN (Lembaga Hasil Dalam Negeri) via the MyInvois system. The Service acts as a tool to facilitate your invoicing process.
3. Account & Responsibility
- You are responsible for maintaining the confidentiality of your login credentials.
- You are solely responsible for all data, information, and content entered into the system, including but not limited to company details, client information, invoice amounts, tax numbers (TIN), and all other financial data.
- You must ensure that all information submitted through CePAT to LHDN is accurate, complete, and compliant with Malaysian tax laws. We do not verify, validate, or audit the accuracy of your data.
- You are responsible for complying with all applicable laws and regulations, including but not limited to the Income Tax Act 1967, the e-Invoice requirements by LHDN, and any other relevant legislation.
4. Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or related to:
- Incorrect data submission: Any errors, inaccuracies, or omissions in invoices or documents submitted through the platform. You are solely responsible for reviewing and confirming all data before submission.
- LHDN/MyInvois system issues: Any rejection, delay, downtime, error, or failure of the LHDN MyInvois system, API, or any government-operated system. We do not control, operate, or guarantee the availability of LHDN systems.
- Tax penalties or fines: Any penalties, fines, interest, or legal consequences imposed by LHDN, IRB, or any government authority resulting from late, incorrect, or failed e-Invoice submissions.
- Server downtime: Service interruptions, server failures, maintenance windows, hosting provider issues, or any other technical disruptions. We rely on third-party hosting infrastructure and do not guarantee 100% uptime.
- Data loss: Loss of data due to server failures, cyberattacks, natural disasters, hosting provider issues, or any other cause beyond our reasonable control.
- Third-party services: Any issues arising from third-party services integrated with CePAT, including but not limited to payment gateways (Billplz), hosting providers, SSL certificate providers, and LHDN API services.
- Financial loss: Any loss of revenue, profits, business opportunities, or goodwill arising from the use or inability to use the Service.
- Software bugs: Any errors, bugs, or defects in the software. While we strive to maintain a reliable platform, the Service is provided on an "as-is" basis.
5. No Professional Advice
CePAT is a software tool, not an accounting, tax, or legal advisory service. We do not provide tax advice, accounting advice, or legal counsel. You should consult a qualified accountant, tax advisor, or lawyer for matters relating to tax compliance, e-Invoice regulations, and financial reporting.
6. Service Availability
- We aim to provide reliable service but do not guarantee uninterrupted, error-free, or secure access to the platform at all times.
- We may perform scheduled or emergency maintenance that results in temporary downtime.
- We are not responsible for internet connectivity issues on your end.
- We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with reasonable notice.
7. Subscription & Payment
- Subscriptions are billed annually as stated on our pricing page.
- First-year pricing includes a one-time setup fee. Renewal pricing is lower as stated.
- Payments are processed through Billplz, a third-party payment gateway. We do not store your payment card information.
- Failure to pay renewal fees may result in suspension or termination of your account.
8. Data Ownership
- You retain ownership of all data you enter into CePAT.
- We do not sell, share, or distribute your data to third parties except as necessary to operate the Service (e.g., submitting invoices to LHDN on your behalf).
- Upon termination of your account, we may retain your data for up to 90 days, after which it may be permanently deleted.
9. Data Backup
- We perform regular system backups as a courtesy measure to help protect data integrity.
- However, you are solely responsible for maintaining your own records, copies, and backups of all data entered into the system.
- We strongly recommend that you regularly export and save copies of your invoices and client data.
- The Company shall not be liable for any data loss, regardless of the cause, including but not limited to server failures, cyberattacks, natural disasters, hosting provider issues, software errors, or human error.
- In the event of data loss, our obligation is limited to restoring the most recent available backup, if any. We do not guarantee the availability, completeness, or recency of backups.
10. Acceptable Use
You agree not to:
- Use the Service for any illegal or fraudulent purposes.
- Submit false or misleading information to LHDN through the platform.
- Attempt to hack, reverse-engineer, or disrupt the Service.
- Share your account credentials with unauthorized parties.
- Use the Service in any way that could damage, overload, or impair our systems.
11. Termination
- Either party may terminate the subscription with written notice.
- We reserve the right to terminate or suspend your account immediately if you violate these Terms.
- Upon termination, your access to the Service will cease. You should export your data before termination.
12. Indemnification
You agree to indemnify, defend, and hold harmless D Gift Sdn Bhd, its directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Malaysia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.
14. Changes to Terms
We reserve the right to update these Terms at any time. Changes will be posted on this page with an updated date. Continued use of the Service after changes constitutes acceptance of the updated Terms.
